Terms of Service - Opportunity

To become an Opportunity user, accept all of the terms and conditions of this agreement as well as our Privacy Policy. In the event of any inconsistency between the Opportunity Privacy Policy and this User Agreement, the User Agreement shall prevail. If you do not agree to be bound by the terms of this Agreement, you may not use nor access our services.

Overview

We reserve the right to modify this Agreement at any time, and without prior notice, by posting amended terms on this agreement. Your continued use of the Opportunity indicates your acceptance of the amended User Agreement.

Opportunity is a lead generation tool that uses a matching algorithm to bring professionals together to do business. Opportunity is typically used by marketers, sales professionals, small business owners, recruiters, job candidates and more. Our service generates leads based on common needs and location between two individuals.

Membership Eligibility

The Opportunity service is not available to minors under the age of 18 or to any users suspended or removed from the system by Opportunity for any reason. Additionally, users are prohibited from selling, trading, or otherwise transferring their Opportunity account to another party. If you do not qualify, you may not use the Opportunity service.

Use of Service

Your use of Opportunity is governed by this User Agreement. Opportunity may refuse service without prior notice to any user for any or no reason.

You are responsible for maintaining the confidentiality of your password and account, and are fully responsible for all activities that occur under your password or account with or without your knowledge. If you knowingly provide your login and password information to another person, your account privileges may be suspended temporarily or terminated. You agree to immediately notify Opportunity of any unauthorized use of your password or account or any other breach of security. Opportunity cannot and will not be liable for any loss or damage arising from your failure to comply with this section.

Opportuinity provides a platform for members to interact with other members using the service. The views and communication expressed by any individual within the Opportunity platform are those of the individual and do not necessarily reflect the views of Opportunity Inc.

You agree to use the Communication Services provided within the Opportunity platform to only post, send and receive messages and that the content is proper and related to the particular Communication Services within Opportunity platform. Users agree to adhere to all the Terms of Service agreement guidlines and conditions when using the Opportunity Communication Services.

Opportunity makes available a service between Hiring Managers, Networkers and Job Seekers, Freelancers to conduct business transactions between each other. Opportunity does not collect a commission related to these agreements or have any contractual agreements between the two parties when a Job or Project is initiated or agreed upon. Opportunity is not responsible for any financial agreements, contracts, money or fees exchanged between the two parties. Further Opportunity assumes no legal responsibility for any related contract issues, disputes or lawsuits that arise form either party, between the two parties related to agreements made between them. Our service only provides the ability to connect the two parties together by our internal matching and messaging system. Both parties agree to hold Opportunity harmless in any legal action or any financial disputes between the two parties.

Termination

You agree that Opportunity may, with or without cause, immediately terminate your account and access to Opportunity services without prior notice. Without limiting the foregoing, the following will lead to a termination by Opportunity of a user’s account (a) breaches or violations of this User Agreement or other incorporated agreements or guidelines, (b) requests by law enforcement or other government agencies, (c) a request by you (self-initiated account deletions), (d) unexpected technical issues or problems, and (e) extended periods of inactivity. Termination of your Opportunity account includes removal of access to all offerings within the Opportunity Service and may also bar you from further use of Opportunity. Furthermore, you agree that all terminations shall be made in Opportunity’s sole discretion and that Opportunity shall not be liable to you nor any third-party for any termination of your account or access to the Opportunity Service.

Refund Policy

Opportunity does not issue refunds for prorated, partially used memberships, or fees that have been charged after the billing cycle. It is the user’s responsibility to cancel their membership before the billing cycle renewal date in their dashboard or by contacting support 30 days prior to membership billing cycle renewal date. Please be advised that a written membership cancelation to Support can take up to 3-5 days to process.

Opportunity, Inc. allows members to cancel their membership at anytime by going to their account page and clicking the downgrade option. If you upgrade through your mobile device, you will need to cancel your membership through your Android or iOS apple device. Please email [email protected] if you need directions on how to do this. When you sign up for a monthly, quarterly or annual service and cancel the membership, your account will remain active until the renewal date; at which time the membership will be canceled. Deleting an account is a separate action that can be handled on your account page.

User Conduct

You understand and agree not to use Opportunity to:

  • Post content or initiate communications which are unlawful, libelous, abusive, obscene, discriminatory, or otherwise objectionable.
  • Use the Opportunity Service for any illegal purpose, including but not limited to conspiring to violate laws.
  • Falsely state, impersonate, or otherwise misrepresent your identity, including but not limited to the use of a pseudonym, or misrepresenting your current or previous positions and qualifications, or your affiliations with a person or entity, past or present.
  • Upload, post, email, transmit or otherwise make available any content or initiate communications which include information that you do not have the right to disclose or make available under any law or under contractual or fiduciary relationships (such as insider information, or proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements).
  • Upload, post, email, transmit or otherwise make available any content or initiate communication that infringes upon patents, trademarks, trade secrets, copyrights or other proprietary rights.
  • Upload, post, email, transmit or otherwise make available any unsolicited or unauthorized advertising, promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any other form of solicitation. This prohibition includes but is not limited to a) Using Opportunity invitations to send messages to people who are unlikely to recognize you as a known contact; b) Using Opportunity to connect to people who don’t know you and then sending unsolicited promotional messages to those direct connections without their permission; and c) Sending messages to distribution lists, newsgroup aliases, or group aliases.
  • Upload, post, email, transmit or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment.
  • Stalk or harass anyone.
  • Post any Content that is hate speech, threatening, sexually explicit or pornographic; incites violence; or contains nudity or graphic or gratuitous violence.
  • Post any Content that promotes racism, bigotry, hatred or physical harm of any kind against any group or individual.
  • Forge headers or otherwise manipulate identifiers in order to disguise the origin of any communication transmitted through the Opportunity Service.
  • Post content in fields that aren’t intended for that content. Example: Putting an address in a name or title field.
  • Interfere with or disrupt the Opportunity Service or servers or networks connected to the Opportunity Service, or disobey any requirements, procedures, policies or regulations of networks connected to the Opportunity Service.
  • Promoting any service of nudity, adult services including personal, private escort services, pornography sites on the platform will be terminated immediately, this includes posting solicitations in Hiring Manager profiles as Jobs or in a Relationship-Dating profile. A user with a Dating Profile looking to promote a business or service other than a Dating Profile for intentions of searching for other users for the purpose of looking for a 1:1 relationship will be terminated immediately.
  • Selling or Promoteing, or Representing any Legal or Illegal Drugs, Medical Pills or Prescriptions directly on your profile or created as a Job Posting, Banner Advertising is not allowed and will result in your account being baned or terminated. Legitimate companies with licenses to sell vitamins or other legal medical products and services can properly do so and advertise their business using the Opportuniy Banner Advertising system or details in their Sales Lead, Networking profiles with a link to their website, Job Seeker, Hiring Manager, Dataing profiles should not be used to adverise any Products or Services.
  • No illegal Products or Services should be communicated or promoted, advertised or sold on the Opportunity platform, such as, Ex. Illegal Firearms, anything that violates any State or Federal laws, etc..

Safety: Your Interactions with Other Users.

Opportunity strives to encourage a respectful user experience through innovative messaging features (Quick Intro, SMS, etc.), it is not responsible for the conduct of any user on or off of the Services. You agree to use caution in all interactions with other users, particularly if you decide to communicate off the Service or meet in person. In addition, you agree to review and follow Opportunity Safety Tips (especially for Dating Profile Users) prior to using the Service. You should not provide your financial information (for example, your credit card or bank account information), or wire or otherwise send money, to other users.

You are solely responsible for your interactions with other users. You understand that opportunity does not conduct criminal background checks on its users or otherwise inquire into the background of its users. Opportunity makes no representations or warranties as to the conduct of users. Opportunity reserves the right to conduct any criminal background check or other screenings (such as sex offender register searches) at any time using available public records.

International Use

Recognizing the global nature of the Internet, you agree to comply with all applicable local rules including but not limited to rules regarding online conduct and acceptable content. Specifically, you agree to comply with all applicable laws regarding the transmission of technical data exported from the United States or the country in which you reside.

Information Provided on this Website

In the course of using Opportunity, users may provide information about themselves which may be visible to certain other users (see our Privacy Policy to learn more about information collected on this website). You understand that by posting materials on the Opportunity website or otherwise providing materials to Opportunity, you are granting to Opportunity a royalty-free, perpetual, irrevocable license to use this information in the course of offering the Opportunity service. Furthermore, you understand that Opportunity retains the right to reformat, excerpt, or translate any materials submitted by you. You understand that all information publicly posted or privately transmitted through Opportunity is the sole responsibility of the person from which such content originated and that Opportunity will not be liable for any errors or omissions in any content. You understand that Opportunity cannot guarantee the identity of any other users with whom you may interact in the course of using the Opportunity Service. Additionally, we cannot guarantee the authenticity of any data which users may provide about themselves or relationships they may describe.

In many ways, Opportunity also serves as a search engine that extracts and summarizes information from other sources across the Internet. This information may be inaccurate and we may make mistakes when extracting the information. Opportunity assumes no responsibility regarding the accuracy of the information that is provided by Opportunity. Once we have collected information about a person / company, we combine multiple mentions of the same person into an individual Profile. The resulting Web Summaries are then made available to the public through Opportunity.

Additionally, Opportunity allows users to create and/or update their own Profile. Any information provided by a user to be part of his or her Profile will be available to the public as part of the Opportunity service. Users who create and/or update their own Profile can change or delete any information they provide if they choose to do so. Please use caution when posting personal identifiable information.

Access to Service

Use of manual or automated software, devices, or other processes to “crawl” or “spider” any web pages contained in the Opportunity website is strictly prohibited. You agree not to monitor or copy, or allow others to monitor or copy, our web pages or the content included herein. You also agree not to “frame” or otherwise simulate the appearance or function of this website. Furthermore, you agree not to take any action that interferes with the proper working of or places an unreasonable load on our infrastructure, including but not limited to unsolicited communications, attempts to gain unauthorized access, or transmission or activation of computer viruses.

Communications

In the course of providing you services, Opportunity may need to communicate with you via email (see our Privacy Policy to learn more about communications). You agree to receive emails which are specific to your account and necessary for the normal functioning of Opportunity, including a series of emails which help inform new users about various features and upgrade opportunities. You also agree to have your name and/or email address listed in the header of certain communications which you initiate through Opportunity.

Uploaded Emails – Third Party Platforms

Growing your network often begins with inviting your existing contacts to join you on a new network like Opportunity. Opportunity simplifies the process by providing an automated way to invite multiple people across a variety of communication platforms (other social networks, email accounts, etc.). Note: Opportunity is not liable for any communication made between our users and members of other networks or the networks themselves. Invitations originating from Opportunity to people outside of the network at the request of our current users are done entirely independent of Opportunity and therefore absolve Opportunity from damages or complaints that may be brought by a recipient or third-party platform.

Contact Information and Opt-In Permission

If you provide any contact information via email or registration on myopportunity.com or any affiliate website you authorized Opportunity to send any communications to you directly. You have the right to stop communication by contacting Opportunity directly.

You agree to receive pre-recorded / artificial voice messages calls and/or use of an automatic dialing device, text messages and/or emails from Opportunity our partners, subcontractors, or any and all other companies that we may have to transfer your account to at any telephone number or email address that you have provided us or that we have otherwise obtained. We may place such calls, texts or emails to (i) notify you regarding upcoming promotions; (ii) notify you of updates; (iii) troubleshoot problems with your account (iv) resolve a dispute; (v) collect a debt; or (vi) as otherwise necessary to service your account or enforce this admissions agreement, our policies, applicable law, or any other agreement we may have with you.

The ways in which you may provide us a telephone number or email address include, but are not limited to, providing the information at account opening, adding the information to your account at a later time, providing it to one of our employees, providing it to our partners, subcontractors, or any and all other companies that we may have to transfer your account to, or by contacting us or our partners, subcontractors, or any and all other companies that we may have to transfer your account to from that phone number or email address. If a telephone number provided to us is a mobile telephone number, you consent to receive SMS or text messages at that number. Standard telephone minute and text charges may apply if we contact you. You may revoke this express consent at any time by emailing [email protected].

By becoming a User, you expressly consent and agree to accept and receive communications from us, including via e-mail, text message, calls, and push notifications to the cellular telephone number you provided to us. By consenting to being contacted by Opportunity you understand and agree that you may receive communications generated by automatic telephone dialing systems and/or which will deliver pre-recorded messages sent by or on behalf of Opportunity its affiliated companies, including but not limited to communications concerning promotions run by us or our third-party partners.

You acknowledge that you are not required to consent to receive promotional messages as a condition of using Opportunity or the Services. However, you acknowledge that opting out of receiving text messages or other communications may impact your use of Opportunity or the Services.

Opportunity has the right to contact any user who visits this website including targeting user via advertising on any 3rd party website or advertising to the user directly through any communication medium.

Monitoring and Enforcement

While we have the right to monitor activity and content associated with Opportunity, we are not o bligated to do so. And since we do not, and may not have the ability to, control or actively monitor content we don’t guarantee its accuracy, integrity or quality. Because community standards vary and individuals sometimes choose not to comply with our policies and practices, in the process of using our website, you may be exposed to content that you find offensive or objectionable. You can contact our Customer Service Department to let us know of content that you find objectionable. We may investigate the complaints and violations of our policies that come to our attention and may take any action that we believe is appropriate, including, but not limited to issuing warnings, removing the content or terminating accounts and/or subscriptions. However, because situations and interpretations vary, we also reserve the right not to take any action. Under no circumstances will we be liable in any way for any content, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of, access to, or denial of access to any content on the website.

Fees

Signing up for a Basic Opportunity account is free. Opportunity also offers a variety of ‘PRO’ services that include a monthly, quarterly or annual fee upon upgraded membership. All of these charges are presented clearly to our users during each ‘sign-up’ process. Subscriptions to Opportunity are billed on either a monthly (every four weeks), quarterly (every 3 months) or annual (every 12 months) basis from the date of the initial upgrade. Opportunity reserves the right to modify the pricing of, add to, or discontinue an Opportunity service or any portion thereof without prior notice.

Paid members are responsible for keeping their billing information current including expiration dates, billing address, etc. Members whose billing experiences a failure will be notified via email and upon login to their profile. All premium services provided through the membership will cease until updated billing information is provided. Members will have an opportunity to update their billing information to reactivate their membership. It is the user’s responsibility to cancel their upgraded membership before their renewal date to ensure no future charges. Failure to do so will result in a continuation of their monthly, quarterly or annual membership. There will be no prorated or adjusted refunds for unused services.

Right of Cancellation

You may cancel registration for the PRO Membership by going to your account page and clicking the Downgrade option and then confirming on the second page. If you need assistance with these directions, please email [email protected]. All upgraded members can cancel their upgraded memberships at any time. When you cancel your upgraded account, it will remain active until the end of your current subscription term unless otherwise terminated. Subscription fees will not be prorated or refunded for partial usage.

Consequences of Cancellation

In the event of cancellation, both parties shall be obliged to restore any benefits already received in accordance with legal provisions, and issue any gains (e.g. interest). This means that all activity related to your profile becomes the sole possession of Opportunity including all efforts related to SEO, SEM, etc. So for example, if our SEO efforts get your profile ranked #1 on Google and you decide to cancel, the ranking by virtue of the profile (owned by Opportunity) becomes the possession of Opportunity. Opportunity has the right to use the profile ranking thereafter however it wishes.

Indemnification

By accepting this User Agreement, you agree to indemnify and otherwise hold harmless Opportunity, Inc., its officers, employees, agents, subsidiaries, affiliates and other partners from any direct, indirect, incidental, special, consequential or exemplary damages resulting from i) your use of Opportunity; ii) unauthorized access to or alteration of your communications with or through Opportunity, or iii) any other matter relating to Opportunity. Any business transactions which may arise between users from their use of Opportunity are the sole responsibility of the users involved.

Without limitation of the terms and conditions set forth in our Privacy Policy, you understand and agree that Opportunity may disclose personally identifiable information if required to do so by law or in the good faith belief that such disclosure is reasonably necessary to comply with legal process, enforce this User Agreement, or protect the rights, property, or safety of Opportunity, its users, and the public.

Disclaimer of Warranties

You understand and agree that the Opportunity service is provided on an “as is” and “as available” basis and that Opportunity does not assume any responsibility for prompt or proper delivery, or retention of any user information or communications between users. Opportunity assumes no responsibility for the accuracy or existence of any communications between users. Opportunity expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to the implied warranties of merchantability, fitness for a particular purpose and non-infringement.

Opportunity makes no warranty that (i) the opportunity service will meet your requirements, (ii) the Opportunity service will be uninterrupted, timely, secure, or error-free, (iii) the results that may be obtained from use of the Opportunity service will be accurate or reliable, (iv) the quality of any products, services, information, or other material purchased or obtained by you through the Opportunity service will meet your expectations, and (v) any errors in the software will be corrected.

Any material downloaded or otherwise obtained through the use of the Opportunity service is done at your own discretion and risk and that you will be solely responsible for any damage to your computer system or loss of data that results from the download of any such material.

No advice or information, whether oral or written, obtained by you from Opportunity shall create any warranty not expressly stated in this user agreement.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you.

Entire Agreement

The User Agreement constitutes the entire agreement between you and Opportunity and governs your use of the Opportunity Service, superseding any prior agreements between you and Opportunity.

Limitation of Liability

You expressly understand and agree that Opportunity shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if opportunity has been advised of the possibility of such damages). Some jurisdictions do not allow the exclusion of the limitation or exclusion of liability for incidental or consequential damages. accordingly, some of the above limitations may not apply to you. In no event will Opportunity’s total cumulative damages exceed US$ 100.

Arbitration, Class-Action Waiver, and Jury Waiver.

Except for users residing within the EU or European Economic Area and elsewhere where prohibited by applicable law:

The exclusive means of resolving any dispute or claim arising out of or relating to this Agreement (including any alleged breach thereof) or the Service shall be BINDING ARBITRATION administered by the American Arbitration Association under the Consumer Arbitration Rules. The one exception to the exclusivity of arbitration is that you have the right to bring an individual claim against the Company in a small-claims court of competent jurisdiction. But whether you choose arbitration or small-claims court, you may not under any circumstances commence or maintain against the Company any class action, class arbitration, or other representative action or proceeding.

By using the Service in any manner, you agree to the above arbitration agreement. In doing so, YOU GIVE UP YOUR RIGHT TO GO TO COURT to assert or defend any claims between you and the Company (except for matters that may be taken to small-claims court). YOU ALSO GIVE UP YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION OR OTHER CLASS PROCEEDING. Your rights will be determined by a NEUTRAL ARBITRATOR, NOT A JUDGE OR JURY, and the arbitrator shall determine all issues regarding the arbitrability of the dispute. You are entitled to a fair hearing before the arbitrator. The arbitrator can grant any relief that a court can, but you should note that arbitration proceedings are usually simpler and more streamlined than trials and other judicial proceedings. Decisions by the arbitrator are enforceable in court and may be overturned by a court only for very limited reasons. For details on the arbitration process, see our Arbitration Procedures. Any proceeding to enforce this arbitration agreement, including any proceeding to confirm, modify, or vacate an arbitration award, may be commenced in any court of competent jurisdiction. In the event that this arbitration agreement is for any reason held to be unenforceable, any litigation against the Company (except for small-claims court actions) may be commenced only in the federal or state courts located in Florida. You hereby irrevocably consent to the jurisdiction of those courts for such purposes. This Agreement, and any dispute between you and the Company, shall be governed by the laws of the state of Florida without regard to principles of conflicts of law, provided that this arbitration agreement shall be governed by the Federal Arbitration Act. The online dispute settlement platform of the European Commission is available under http://ec.europa.eu/odr. Opportunity does not take part in dispute settlement procedures in front of a consumer arbitration entity for users residing in the EU or European Economic Area.

Governing Law

The User Agreement between you and Opportunity, Inc. will be governed by and construed in accordance with the laws of the State of Delaware without regard to conflict of laws principles.

General Information

Opportunity, the Opportunity logo, and other Opportunity logos and names are trademarks of Opportunity, Inc. You agree not to display or use these trademarks in any manner without Opportunity’s prior, written permission. The section titles of this User Agreement are displayed for convenience only and have no legal effect.
